We represent investors and non-real estate operating companies in buying and selling all types of real estate assets, including multi-family, retail, office, industrial and hospitality projects. We manage all legal aspects of our clients' acquisitions and dispositions, including drafting letters of intent and purchase agreements, analyzing title, survey and other diligence matters, resolving issues that arise during escrow, and coordinating the efficient closing of the transaction. In addition to preparing core transaction documents, we review and negotiate leases, management agreements, brokerage agreements, escrow holdback agreements, and estoppels. Guided foremost by our clients' business objectives, we undertake all drafting and negotiation in the pursuit of closing good deals, avoiding poor ones and limiting our clients' risk wherever possible.


We represent commercial landlords and tenants in structuring, negotiating and drafting leases and management contracts for retail, office, industrial and medical properties. We also prepare critical ancillary documents, including construction agreements, architects' agreements, tenant work letters and listing agreements. In addition to conventional leases, we offer representation for other leasing arrangements, including build-to-suit leases, sale-leasebacks, master leases and ground leases.


We counsel both lenders and borrowers in a range of real estate financing transactions, including traditional secured lending and carry-back financing.  We draft and negotiate loan agreements, deeds of trust, promissory notes, repayment and completion guaranties, SNDAs, intercreditor agreements, pledge agreements and other financing documents.  Furthermore, we assist our lender clients with all legal diligence items and, when necessary, modifications and amendments to existing loans. We also help our clients navigate and solve issues related to the financial condition and performance obligations of their borrowers. 


We represent companies and individuals in a wide range of real estate disputes, including breach of contract, fraud, rescission, entitlement and land use challenges, quieting title and commercial unlawful detainer actions.  Our approach to litigation centers  on breadth of experience, zealous advocacy and an intimate knowledge of the businesses and strategic objectives of our clients. We are constantly mindful that efficient, cost-effective representation is a key ingredient to the successful resolution of our cases. This means that winning cases is only one part of how we measure success.  Avoiding unnecessary litigation, saving our clients time and money, and helping them get back to running their businesses are all part of the equation.
